1. Introduction

Welcome to SocialShot.

These Terms of Service (“Terms”) govern your access to and use of SocialShot, available at https://socialshot.co, including our website, AI-powered tools, applications, and related services (collectively, the “Services”).

SocialShot provides AI-powered creative tools for individuals, content creators, marketers, businesses, and ecommerce merchants. Our services may include AI product photography, background removal and replacement, virtual try-on, AI fashion imagery, image enhancement, shadow generation, advertising creatives, social media content, and other image generation or editing features.

You may use SocialShot directly through our website without connecting a Shopify store. Shopify integration is optional and is required only for features that specifically depend on Shopify.

In these Terms, “SocialShot,” “we,” “our,” or “us” refers to the operator of the SocialShot Services. “You” or “your” refers to anyone accessing or using the Services.

By accessing or using SocialShot, you agree to these Terms. If you do not agree, you must not use the Services.

2. Eligibility

You must be legally permitted to use the Services under the laws applicable to you.

If you use SocialShot on behalf of a company or other organization, you represent that you have authority to accept these Terms on its behalf.

You are responsible for ensuring that your use of SocialShot complies with applicable laws, regulations, and third-party platform policies.

3. Accounts and Account Security

Some features may require you to create an account. Other features may be available without registration, depending on the functionality offered.

When creating or maintaining an account, you agree to provide accurate information and keep it reasonably up to date.

You are responsible for:

• Maintaining the confidentiality of your login credentials.
• Protecting access to your account.
• All activities conducted through your account, except where caused by circumstances for which you are not legally responsible.
• Notifying us promptly if you suspect unauthorized access or misuse.

We may take reasonable steps to protect accounts and the Services from fraud, abuse, or security threats.

4. Description of Services

SocialShot offers AI-powered creative tools that may include:

• AI product photography and lifestyle images.
• Background removal and background replacement.
• AI fashion imagery and virtual try-on.
• Product shadow generation and image enhancement.
• Advertising and promotional creative generation.
• Social media content creation.
• Image resizing and other image editing tools.
• Brand settings, saved assets, and generation history where available.
• Shopify product image integration for users who connect an eligible store.

Features may vary depending on your account, selected tools, available credits, subscription or purchase arrangements, and technical availability.

We may add, modify, improve, or discontinue features in accordance with these Terms and applicable law.

5. User Content and Ownership

“User Content” means images, text prompts, logos, product information, brand assets, reference materials, and other content you upload, submit, or provide through SocialShot.

You retain whatever rights you hold in your User Content.

You represent and warrant that you own or have the necessary rights, permissions, and licenses to upload, process, edit, and use your User Content through the Services.

You grant SocialShot a limited, non-exclusive permission to host, transmit, reproduce, and process your User Content only as reasonably necessary to provide, secure, maintain, and support the Services, subject to our Privacy Policy.

This permission does not transfer ownership of your User Content to SocialShot.

You must not upload content that infringes another person's intellectual property, privacy, publicity, or other legal rights.

6. AI-Generated Content

SocialShot uses artificial intelligence and related technologies to generate, transform, and edit creative content.

AI-generated results may be inaccurate, inconsistent, incomplete, or unsuitable for a particular use. Similar or comparable results may be generated for different users.

You are responsible for reviewing all generated content before publishing, advertising, distributing, or using it commercially.

For product photography and ecommerce use, you should verify that generated images accurately represent the actual product, including its appearance, color, materials, features, dimensions, and other material characteristics.

To the extent permitted by applicable law and subject to third-party rights and applicable provider terms, you may use generated outputs for lawful personal or commercial purposes.

SocialShot does not guarantee that generated outputs are unique, free of third-party rights claims, or eligible for copyright protection in every jurisdiction.

You are responsible for determining whether your intended use of generated content complies with applicable laws, advertising rules, platform policies, and intellectual property rights.

7. Acceptable Use

You agree not to use SocialShot to:

• Violate any applicable law or regulation.
• Infringe intellectual property, privacy, publicity, or other third-party rights.
• Create fraudulent, deceptive, or materially misleading advertisements or product representations.
• Upload malicious code or attempt to compromise the Services.
• Circumvent account restrictions, credit limits, payment requirements, or security controls.
• Interfere with the operation, availability, or security of the Services.
• Reverse engineer, scrape, or exploit the Services except where applicable law permits.
• Generate or distribute content prohibited by applicable law or our reasonable safety policies.
• Use the Services in a way that violates Shopify policies or the terms of an integrated third-party service.
• Misrepresent AI-generated content in a way that violates applicable disclosure or advertising requirements.

We may investigate suspected violations and restrict or suspend access when reasonably necessary to protect users, third parties, or the Services, subject to applicable law.

8. Credits and Usage Limits

SocialShot may provide free credits and offer additional credits for purchase. Certain features may have usage limits or other eligibility requirements.

The credit cost for a generation or editing operation will be presented through the applicable interface where supported.

Credits are digital usage units for eligible SocialShot features. Unless expressly stated otherwise:

• Credits are not cash and cannot be redeemed for cash.
• Credits cannot be transferred between accounts unless we explicitly support such transfers.
• Credits may only be used for eligible SocialShot services.
• Credit balances and usage are subject to the applicable package and account terms.
• Credits advertised as non-expiring will not expire under the stated package terms, subject to applicable law and disclosed exceptions.

Generation failures, duplicate requests, and credit adjustments will be handled according to the applicable credit rules and implemented refund process.

We will not intentionally charge credits multiple times for the same generation request solely because of a duplicate submission. Where a generation fails, any applicable credit restoration will follow the rules presented by SocialShot.

You are responsible for reviewing displayed credit costs before starting an operation.

9. Purchases and Payments

SocialShot may offer one-time credit packages or other paid features as displayed within the Services.

Before confirming a purchase, review the displayed price, included credits, applicable taxes, and any additional purchase terms.

Payments may be processed through Shopify or another supported payment provider, depending on how you access and purchase the relevant service.

A transaction is not considered successful until the applicable payment system or SocialShot confirms it.

Refund eligibility is subject to applicable law, the terms displayed at purchase, and the applicable payment provider's rules. Nothing in these Terms limits any non-waivable consumer rights.

For purchases made through Shopify, applicable Shopify billing requirements and policies also apply.

10. Shopify Integration

Connecting Shopify to SocialShot is optional.

If you connect a Shopify store, you authorize SocialShot to access the information and perform the actions permitted by the permissions you grant and the features you use.

These actions may include retrieving product information and images, generating images for selected products, and saving generated images to Shopify product media.

You are responsible for ensuring that you have authority to connect the relevant store and use its product content.

Shopify-related features may stop working if the integration is disconnected, authorization expires, permissions change, or Shopify APIs become unavailable.

Your use of Shopify is also governed by Shopify's applicable terms and policies.

Users who do not connect Shopify may continue to use website features available independently of Shopify, subject to the applicable account, credit, and usage requirements.

11. Third-Party Services

SocialShot may rely on third-party services, including AI model providers, hosting and storage providers, authentication services, payment processors, analytics providers, and Shopify.

Third-party services may have separate terms, privacy policies, availability limitations, and technical requirements.

When you use a feature that relies on a third-party service, relevant information may be processed by that provider as described in our Privacy Policy.

We are not responsible for independent third-party services beyond our reasonable control. This provision does not exclude liability that cannot lawfully be excluded.

The Privacy Policy explains how we collect, use, retain, and disclose information, including uploaded images, generated content, account information, payment-related records, and optional Shopify store data.

You should review the Privacy Policy before using the Services.

13. Availability and Service Changes

We aim to provide reliable access to SocialShot but do not guarantee uninterrupted or error-free operation.

The Services may occasionally be unavailable because of maintenance, updates, technical problems, security measures, third-party outages, or circumstances beyond our reasonable control.

We may modify, suspend, or discontinue features where reasonably necessary to maintain or improve the Services, comply with law, or address security and operational requirements.

Where required by law, we will provide notice or appropriate remedies for material changes.

14. Suspension and Termination

You may stop using SocialShot at any time. If you have an account, you may request account deletion using the available account controls or by contacting us.

We may restrict, suspend, or terminate access if you materially violate these Terms, engage in fraud or abuse, create a security risk, or if continued service is prohibited by law or a relevant platform provider.

Where reasonably possible and legally permitted, we will provide notice and an opportunity to address the issue.

Upon termination, your right to use the affected Services ends. Data will be handled according to our Privacy Policy, applicable law, and legitimate retention obligations.

The treatment of remaining credits, purchases, and transaction records will be subject to applicable law and the terms governing the relevant purchase.

15. Disclaimer of Warranties

To the maximum extent permitted by applicable law, SocialShot is provided on an “as available” basis.

We do not guarantee that:

• AI-generated content will be accurate or suitable for every purpose.
• Generated images will always match the actual appearance of a product.
• Outputs will be unique or free from third-party rights claims.
• The Services will operate without interruption or errors.
• Using SocialShot will result in specific sales, conversions, engagement, revenue, or other business outcomes.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

16. Limitation of Liability

To the maximum extent permitted by applicable law, SocialShot will not be liable for indirect, incidental, special, consequential, or punitive losses, or for lost profits, revenue, goodwill, or data arising from your use of the Services.

To the extent permitted by applicable law, our aggregate liability for claims arising from the Services will be limited to the amount you paid directly to SocialShot for the affected Services during the three months preceding the event giving rise to the claim.

These limitations do not apply to liabilities that cannot lawfully be limited, including any mandatory consumer rights or other non-excludable liabilities under applicable law.

17. Indemnification

To the extent permitted by applicable law, you are responsible for claims arising from your unlawful use of the Services, your material violation of these Terms, or your infringement of another person's rights through User Content or your use of generated content.

This section does not require you to indemnify SocialShot for our own conduct to the extent prohibited by applicable law.

18. Changes to These Terms

We may update these Terms to reflect changes to our Services, business practices, or legal requirements.

We will update the “Last Updated” date when changes are published. Where required by law, we will provide notice or obtain consent before material changes take effect.

Your continued use of the Services after updated Terms become effective constitutes acceptance where permitted by applicable law.

19. Governing Law and Disputes

These Terms are governed by the laws of Bangladesh, except where mandatory law requires otherwise.

Disputes will be handled by the competent courts or dispute-resolution bodies determined under applicable law.

Nothing in this section restricts any mandatory consumer rights or legal protections available to you.
